Auditor Agreement
This auditor agreement is between the below mentioned individual and Green Globe, 1223 Wilshire Blvd., Suite 925 Santa Monica, CA 90403 / U.S.A.
Definition:
Auditor: An independent person, accredited by Green Globe, to perform sustainability audits on behalf of Green Globe to confirm compliance of a Green Globe member with the Green Globe Standard. The auditor may not have any financial interest in Green Globe or the Green Globe member to be audited.

Auditor agrees to perform independent audits in accordance with ISO 17021.
Auditor to clearly identify himself/herself after arriving on-site.
Auditor cannot provide consulting services to the same (audited) business.
Auditor to receive remuneration (payment) from Green Globe for performing independent audit and/or re-audit. Audit rates vary by geographical location as well as corporate agreements.
Auditor understands that Green Globe has negotiated auditing contracts in place with Green Globe members and Green Globe corporate members.
Auditor may not negotiate with and/or invoice auditing rate directly to a Green Globe member unless approved by Green Globe.
Auditor may charge and negotiate costs for travel to and from auditing site. The travel cost needs to be communicated to and approved by Green Globe member ahead of the audit.
Auditor understands that Green Globe charges a fee for performing an audit.
Auditor to appear in professional attire and display courteous business manor while performing audit on-site.
Audit reports to be submitted by auditor to Green Globe no later than 72 hours after concluding the audit (please report exceptions such as travel delay or sickness immediately).
Auditor may not solicit or sell additional services to Green Globe member while on site unless approved by Green Globe.
Auditor agrees to keep confidential all information gathered during the auditing process. At no time is the auditor authorised to disclose documentation, photos, data, contacts or verbally gathered information to a third party.

Green Globe assigns audits / re-audits to the auditor directly.
Green Globe to provide auditor with contact information of Green Globe member for audit.
Green Globe provides access to all documents needed for audit.
Green Globe to communicate fee for performing audit to auditor ahead of time.
Green Globe to send payment to auditor within 12 business days after receiving payment. Payment is provided via wire transfer or check. Green Globe is not responsible for banking fees and charges.
Green Globe will not direct an auditor to perform an audit without all payments received from the Green Globe member (including membership fee as well as auditing fee).
Green Globe to support auditor before, during and after audit. Auditor may contact Green Globe at any time with questions or suggestions.
Green Globe retains the right to re-audit or cancel audit as well as canceling auditor contract on the basis of gross violations of the above.
Green Globe provides limited legal protection for the auditor during the auditing process.

This Agreement supersedes any prior agreement between Green Globe and the auditor.
This document is the entire agreement between Green Globe and the auditor.
Oral changes have no effect. It may be altered only by a written agreement signed by the party against whom enforcement of any waiver, change, modification, extension, or discharge is sought.
Any claim or controversy that arises out of or relates to this agreement, or the breach of it, shall be settled by arbitration in accordance with the rules of the American Arbitration Association in Los Angeles, California / USA.
Agreements and understandings shall be governed and construed in accordance with the laws of the State of California.
If either party shall bring an action to enforce any provision within this Agreement drafted to memorialize these provisions, the prevailing party shall be entitled to reimbursement for all reasonable legal fees and costs incurred.
